These Terms & Conditions (“Terms”) govern your use of the website irisstudios.in (“Website”) and any interior design consultation, design, or execution services provided by Iris Studios (“we”, “us”, “our”). By accessing this Website or engaging our services, you (“client”, “you”) agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.
1. About Us
Iris Studios is an interior design studio based in Bangalore, offering residential and commercial interior design consultation, design development, and project execution services.
2. Our Services
Our services may include, but are not limited to, space planning, interior design concepts, 3D visualisation, material and finish selection, project management, and coordination of execution through our team and/or third-party vendors and contractors. The exact scope of services for any project is defined in a separate signed proposal, quotation, or service agreement between Iris Studios and the client, and that document will take precedence over these general Terms in the event of any conflict.
3. Website Use
All content on this Website — including images, project photographs, designs, text, logos, and graphics — is the property of Iris Studios or used with permission, and is protected by applicable intellectual property laws. You may view and share content for personal, non-commercial use only. You may not reproduce, copy, distribute, or use any content from this Website for commercial purposes without our prior written consent.
4. Consultations, Quotations & Estimates
Any pricing, estimates, or quotations shared verbally, over email, or on this Website are indicative and subject to change based on site conditions, material availability, market rates, and final scope of work. A formal quotation or agreement is required before any binding costs are confirmed for a project.
5. Payment Terms
Payment schedules, advance/token amounts, and milestone payments will be specified in the individual project agreement signed with the client. Unless otherwise agreed in writing:
- An advance payment is required to confirm and commence a project.
- Subsequent payments are linked to project milestones as outlined in the agreement.
- Delays in payment may result in delays to the project timeline.
6. Design Ownership & Intellectual Property
All design concepts, drawings, 3D renders, and mood boards created by Iris Studios remain our intellectual property until full payment for the relevant design services has been received. Once paid for, the client is granted a licence to use the designs for their own space only, and not for resale, publication, or reproduction elsewhere without our written consent.
We reserve the right to photograph completed projects and feature them in our portfolio, Website, social media, and marketing materials, unless the client requests confidentiality in writing prior to project commencement.
7. Client Responsibilities
To ensure smooth execution of a project, clients are expected to provide timely approvals and feedback at each design stage, accurate site information and measurements (or access for our team to take them), and reasonable access to the project site during execution.
8. Project Timelines
Project timelines shared at the proposal stage are estimates. Actual timelines may be affected by material availability, third-party vendor schedules, site conditions, client-requested changes, or circumstances beyond our reasonable control. We will communicate any significant delays as soon as we become aware of them.
9. Third-Party Vendors & Contractors
Where execution involves third-party contractors, fabricators, or suppliers, Iris Studios coordinates this work on the client’s behalf. Workmanship and material warranties for such work are governed by the respective vendor’s terms, and while we manage quality checks on our end, we are not the manufacturer of third-party products.
10. Cancellations & Refunds
Cancellation terms, including any non-refundable amounts, will be specified in the individual project agreement. As a general policy, advance payments made to confirm a project cover design time, planning, and resource allocation already committed, and may not be refundable once work has commenced. Any refund due for undelivered scope will be assessed on a case-by-case basis as per the signed agreement.
11. Warranty & Limitation of Liability
We provide our design and project management services with professional care and skill. However, we do not warrant against defects arising from normal wear and tear, misuse, third-party material or manufacturing faults, or changes made by the client or other parties after project completion. To the maximum extent permitted by law, our liability for any claim relating to our services is limited to the fees paid by the client for the specific service in question.
12. Confidentiality
We treat client information, floor plans, and project details as confidential and will not share them with third parties except as needed to deliver the project (e.g., with vendors or contractors) or as required by law.
13. Force Majeure
Iris Studios shall not be liable for any delay or failure to perform obligations due to events beyond our reasonable control, including but not limited to natural disasters, government restrictions, strikes, or supply chain disruptions.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, subject to resolution through good-faith negotiation or arbitration under the Arbitration and Conciliation Act, 1996, where applicable and as specified in the project agreement.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The updated version will be posted on this page with a revised effective date. Continued use of the Website or our services after any changes constitutes acceptance of the revised Terms.
